Governing your use of the GroHubz Instagram Automation Platform

1. Acceptance of Terms

These Terms and Conditions constitute a legally binding agreement between you ("User", "you", or "your") and GroHubz ("Company", "we", "us", or "our") regarding your access to and use of our Instagram automation and messaging platform ("Service").

By registering, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations.

2. Eligibility & Account Registration

To use our Service, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction)
  • Have a valid Instagram account in good standing
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Comply with all applicable laws and Instagram's Terms of Service

You are solely responsible for all activities that occur under your account and must immediately notify us of any unauthorized use.

3. Service Description & Limitations

GroHubz provides an automation platform that enables automated responses to Instagram direct messages based on user-defined rules and triggers.

Important Limitations:

  • Service availability depends on Instagram API stability and Meta platform policies
  • Automation speed is subject to Instagram rate limits and global API restrictions
  • Features may change based on Meta's policy updates and platform changes
  • We do not guarantee specific response times or message delivery rates

4. Acceptable Use Policy

You agree not to use the Service for:

Prohibited Activities

  • Sending unsolicited spam or harassing messages
  • Misleading, fraudulent, or deceptive content
  • Impersonating any person or entity
  • Violating Instagram Community Guidelines or Meta Policies
  • Promoting illegal products or services
  • Collecting user data without proper consent

Compliance Requirements

  • Respect user privacy and obtain necessary consent
  • Include clear opt-out/unsubscribe mechanisms
  • Maintain transparent and honest communication
  • Follow GDPR, CCPA, and other applicable privacy laws
  • Only message users who have engaged with your content

5. Instagram & Meta Platform Compliance

Our Service operates in compliance with Instagram Platform Policies, Meta Developer Policies, and all applicable terms set forth by Meta Platforms, Inc. You must:

  • Only message users who have engaged with your content or consented to receive messages
  • Provide clear opt-out options in all automated messages
  • Not use automation for mass unsolicited messaging ("spam")
  • Respect all Instagram rate limits, API restrictions, and usage guidelines
  • Not use the Service to circumvent any Instagram native restrictions

Important: Violation of Instagram or Meta policies may result in immediate suspension of your access to our Service. GroHubz is not responsible for any restrictions, bans, or penalties applied to your Instagram account by Meta.

6. Subscription & Payment Terms

GroHubz operates on a subscription basis with pricing in USD (United States Dollars) for global customers. By subscribing, you agree to:

  • Pay all applicable fees for your selected plan as displayed at checkout
  • Automatic renewal at the end of each billing cycle unless cancelled before the renewal date
  • No refunds for partial months, unused service, or Instagram account restrictions
  • Price changes with 30 days' prior notice via email
  • All fees are exclusive of taxes and you are responsible for any applicable taxes

Payments are processed securely through our third-party payment processors. We do not store full payment information on our servers.

7. Intellectual Property Rights

All rights, title, and interest in and to the Service, including but not limited to software, source code, trademarks, logos, designs, and content displayed on our website, are owned by or licensed to GroHubz and are protected by international copyright, trademark, and other intellectual property laws.

You retain all ownership rights to your Instagram content, message templates, and any data you provide. However, you grant us a limited, non-exclusive, revocable license to access and process your Instagram data solely for the purpose of providing the Service to you.

You may not copy, modify, reverse engineer, or create derivative works of our Service without our express written permission.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, GROHUBZ DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GROHUBZ, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR INSTAGRAM ACCOUNT RESTRICTIONS, BANS, OR SUSPENSIONS ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless GroHubz and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including Instagram/Meta policies; or (d) any content you send through the Service.

11. Termination & Suspension

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:

  • You violate these Terms or any Instagram/Meta policies
  • Required by law or legal process
  • You engage in fraudulent, abusive, or harmful activities
  • Your payment method fails and subscription fees remain unpaid
  • Your Instagram account is banned, suspended, or restricted by Meta

Upon termination, your right to use the Service will cease immediately. You may cancel your subscription at any time through your account settings.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution:

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, unless otherwise agreed by both parties. You may also bring claims in small claims court in your jurisdiction if the claim qualifies.

By agreeing to these Terms, you and GroHubz waive the right to a trial by jury or to participate in a class action.

13. Changes to Terms

We reserve the right to modify or update these Terms at any time. We will notify users of material changes via email (to the address associated with your account) or through a prominent notice on our platform. Changes become effective 30 days after notice for existing users and immediately for new users. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

14. General Provisions

  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and GroHubz regarding the Service.
  • Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
